Sales Terms and Conditions

These Sales Terms and Conditions govern the sale of products and services by North Channel 3D LLC ("North Channel") unless otherwise agreed to in a separate written agreement signed by both parties.
1. Quotations
All quotations are non-binding and subject to change without notice unless otherwise stated in writing.
Quotations are based on information available at the time of issuance and may be subject to adjustment due to changes in tariffs, duties, freight, taxes, exchange rates, material costs, or other factors outside of North Channel's control.
2. Orders
Orders are not binding until accepted by North Channel.
Any purchase order submitted by the customer is subject to these Sales Terms and Conditions regardless of any conflicting terms contained within the customer's purchase order or other documents.
3. Pricing
Prices do not include applicable taxes, duties, tariffs, customs fees, import charges, insurance, installation, training, freight, rigging, or other charges unless specifically stated in writing.
Customers are responsible for all applicable taxes and governmental charges associated with the purchase.
4. Payment Terms
Payment terms shall be as specified in the applicable quotation, invoice, or sales agreement.
North Channel reserves the right to suspend performance, shipment, installation, service, or support activities for overdue accounts.
Late payments may be subject to interest at the maximum rate permitted by applicable law.
5. Delivery and Lead Times
Any delivery dates or lead times provided by North Channel are estimates only.
North Channel shall not be liable for delays caused by manufacturers, suppliers, freight carriers, customs authorities, government actions, labor shortages, force majeure events, or other circumstances beyond its reasonable control.
6. Installation and Site Preparation
The customer is responsible for ensuring that the installation site meets all facility, utility, environmental, safety, and operational requirements specified by North Channel or the equipment manufacturer.
Additional costs resulting from inadequate site preparation may be billed separately.
7. Inspection and Acceptance
Customers shall inspect products upon delivery and notify North Channel of any shortages, damage, or non-conformities within ten (10) business days of receipt.
Failure to provide notice within such period shall constitute acceptance of the products.
8. Title and Risk of Loss
Unless otherwise agreed in writing, title to all products shall remain with North Channel until payment has been received in full.
Risk of loss or damage shall pass to the customer upon delivery to the agreed delivery location, regardless of whether installation, commissioning, training, or acceptance testing has been completed.
In the event of non-payment, North Channel reserves all rights available under applicable law to recover products for which payment has not been received in full.
9. Warranty
Products supplied by North Channel are subject solely to the warranty, if any, provided by the applicable manufacturer or as expressly stated in writing by North Channel.
North Channel's obligation under any warranty shall be limited to facilitating warranty support in accordance with the manufacturer's published warranty terms.
Except as expressly stated in writing, North Channel disclaims all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
10. Technical Advice and Application Support
Any technical recommendations, application guidance, process advice, sample part evaluations, material suggestions, or performance estimates are provided based upon information available at the time and are offered as general guidance only.
Customers are solely responsible for validating suitability, performance, regulatory compliance, and fitness for their intended application.
11. Limitation of Liability
To the fullest extent permitted by law, North Channel shall not be liable for any indirect, incidental, special, consequential, punitive, or lost profit damages arising from the sale, installation, use, performance, or failure of any product or service.
North Channel's total liability arising from any transaction shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.
12. Force Majeure
North Channel shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, government actions, labor disputes, transportation disruptions, supply chain interruptions, war, terrorism, epidemics, pandemics, utility failures, or other events beyond its reasonable control.
13. Governing Law
These Sales Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.
14. Entire Agreement
These Sales Terms and Conditions, together with any quotation, invoice, order acknowledgment, or separately executed agreement, constitute the entire agreement between the parties regarding the applicable transaction.
